Roles & Responsibilities
Key Responsibilities
Corporate Governance & Compliance
- Manage corporate structuring across jurisdictions (ADGM and DMCC).
- Draft, review, and file Articles of Association, board resolutions, and shareholder agreements.
- Ensure compliance with UAE free zone regulations, employment law, and company law requirements.
Investor Relations & Fundraising
- Lead negotiations of SAFE, SSA, and equity financing documents with investors.
- Oversee cap table, ESOP implementation, and shareholder communications.
- Support due diligence processes and protect CASABOTu2019s interests in funding rounds.
Commercial Contracts
- Draft, review, and negotiate contracts with real estate developers, telcos, technology vendors, and distributors.
- Establish standardized templates for NDAs, MSAs, licensing agreements, and pilot agreements.
- Balance risk management with enabling rapid business growth.
Intellectual Property
- Oversee IP assignment, licensing, and protection strategies to IP.
- Manage trademarks, patents, and international filings as required.
Risk & Strategic Advisory
- Advise leadership and board on legal risks across multiple jurisdictions.
- Proactively identify regulatory developments affecting AI, data, and smart home technology.
- Build scalable processes to manage compliance while supporting innovation.
External Counsel Management
- Engage and manage specialized law firms cost-effectively.
- Ensure outside counsel spend is aligned with CASABOTu2019s budget and priorities.
Desired Candidate Profile
Bar admission in both English common law jurisdiction (UK, Australia, Canada, etc.) and UAE law. Swiss law is a plus.
8+ years PQE, with at least 3 years in-house (startup or tech sector preferred).
Strong expertise in corporate law, contracts, M&A/financing transactions, and UAE free zone regulations.
Experience advising on cross-border contracts, technology/IP law, and venture financing.
Proven ability to balance risk with entrepreneurial growth needs.
Excellent negotiation, drafting, and communication skills (English essential; Arabic a plus).
Hands-on, pragmatic, and able to thrive in a fast-paced startup environment.
