Job Description

Roles & Responsibilities

Understand the local content requirements in the territory of responsibility and work with the functions to ensure compliance with local laws and regulations from a CEM standpoint.

  • Liaise with the Legal Manager on key legal developments in the territory of responsibility, including countries of operation where one or more Product Lines or subsidiaries are incorporated, or branches established.
  • Coordinate with Legal department stakeholders and the CE Manager if developments require action by the company.
  • Understand the corporate structure rationale and ensure that it is followed.
  • Provide corporate advisory support to the Product Lines and GeoMarkets, ensuring compliance with global policies, standards and best practices relating to CEM.
  • Oversee proper usage of CEM platforms and consistency in recording methods across the territory of responsibility, including the corporate database (CODA) and the Legal Knowledge Management System (LKMS).
  • Help the CE Manager coordinate corporate restructuring projects; communicate and coordinate with the Legal Manager to ensure required documents are filed appropriately with local authorities.
  • Liaise with the Legal Manager to remain up to date on corporate information and changes in legal entities and branches within the territory of responsibility; update CODA.
  • Keep director and officer appointments up to date for the legal entities and branches; make database entries and file changes locally where required. Prepares shareholder and board resolutions, circulate for signature, and keep up to date.
  • Support the training program for directors and officers.
  • Ensure templates of shareholder and board resolutions are up to date, and reflect changes to local laws as necessary.
  • Circulate to the Legal Manager for approval.
  • Ensure that amended templates are shared in LKMS or other repository.
  • Ensure that original minutes and resolutions are filed as required by local laws within the territory of responsibility.
  • Ensure that electronic drafts and signed copies are shared in LKMS or other repository.
  • Prepare, track and revoke powers of attorney as appropriate.
  • Liaise with the Legal Manager to ensure proper approvals are obtained; ensure that originals are sent to location representatives for filing with local authorities.
  • Arrange notarization and translation of documents required locally.
  • Perform corporate health checks as per the CEM audit program; ensure quality, consistency, accuracy and completeness of corporate data.
  • Prepare dormant or redundant entities in the territory of responsibility, and propose liquidations or dissolutions.
  • Ensure that corporate matters, including share transfers, restructuring, liquidation, dissolution and service provider details, are properly uploaded to LKMS.
  • Ensure that training materials and local guidelines, laws, rules and regulations, procedures and practices are properly uploaded to LKMS.
  • Ensure that requests submitted via the global legal request ticketing system are processed following the standard operating procedure and work flow.
  • Provide training to users in the territory of responsibility on the global legal request ticketing system.
  • Update and make available the annual corporate calendar to the Legal Manager and CE Manager.
  • Prepare and make available training materials related to CEM.
  • Approve invoices from service providers, and ensure they are settled and recorded on a timely basis.
