Job Description
Roles & Responsibilities
KEY ACCOUNTABILITIES:
Governance & Board Support
Act as Secretary to the Board and Sub board Committees in coordination with the Legal Department.
Ensure compliance with OIA corporate governance standards, statutory obligations, and regulatory requirements.
Prepare and distribute Board agendas, packs, resolutions, and notices.
Record, finalize, and archive accurate minutes of Board and Sub Committee meetings.
Track follow-up actions and ensure timely implementation of Board resolutions.
Maintain statutory registers, records, and filings.
Compliance & Best Practices
Support the adoption of OIA-aligned governance frameworks, processes, and policies.
Monitor compliance and escalate areas requiring corrective action.
Work with Legal to ensure frameworks remain current with evolving regulations.
PMO Focal Point Project Governance & Coordination
Act as a focal point for consolidating updates on key corporate projects and initiatives.
Prepare project dashboards and progress reports for the CEO Office and Committees.
Monitor timelines, deliverables, and risks, escalating where corrective action is needed.
Ensure governance alignment in project execution and change initiatives.
Communication & Stakeholder Coordination
Act as a point of contact between the Board, Legal, and internal functions.
Ensure transparent and timely communication of governance decisions and project progress.
Other Duties
Undertake any additional responsibilities or strategic assignments as directed by management.
Desired Candidate Profile
Qualifications:
Bachelor s degree in Business Administration, Finance and Accounting or related field.
Professional certification in Company Secretarial practice or Project Management (e.g., PMP, PRINCE2) is preferred.
Experience:
5 years of relevant experience, with at least 2 years as a Committee Secretary, governance officer, or in project/program coordination.
Experience in corporate governance or investment/holding environments is an advantage.
